By accessing the website at https://nuokka.com, or signing up for the application at https://app.nuokka.com, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

2. The Service

The services offered by Nuokka Pty Ltd under the Nuokka Terms of Service include various products and services to help you browse, buy, and sell goods and services whether online, in person, or both. Any such services offered by Nuokka Pty Ltd are referred to in these Terms of Services as the “Services”. Any new features or tools which are added to the current Services shall be also subject to the Terms of Service. Nuokka Pty Ltd reserves the right to update and change the Terms of Service by posting updates and changes to the Nuokka website. We advise all Nuokka users to review our Terms of Service regularly.

Your continued use of the Services after the amended Terms of Service are posted to Nuokka’s website constitutes your agreement to, and acceptance of, the amended Terms of Service.

We reserve the right to modify or terminate the Services for any reason, without notice at any time. Not all Services and features are available in every jurisdiction and we are under no obligation to make any Services or features available in any jurisdiction.

1. The materials on Nuokka Pty Ltd's website are provided on an 'as is' basis. Nuokka Pty Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
2. Further, Nuokka Pty Ltd does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations

In no event shall Nuokka Pty Ltd or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Nuokka Pty Ltd's website, even if Nuokka Pty Ltd or a Nuokka Pty Ltd authorised representative has been notified orally or in writing of the possibility of such damage. You may not use Nuokka Pty Ltd services for any illegal purpose. You must not use the service to violate any laws in any country of use (including but not limited to copyright laws), the laws applicable to you in your customer’s jurisdiction, or the laws of Australia. You will comply with all applicable laws, rules and regulations in your use of the Service and your performance of obligations under the Terms of Service.

You must be a minimum of 18 years of age to sell products and services on Nuokka.

You may use Nuokka to purchase and browse products and services if you are under 18 years of age with the consent of your parents or legal guardian.

5. Accounts

To use the services provided by Nuokka Pty Ltd you are required to register an account on the nuokka.com site. You can do this either on the site itself, or by contacting Nuokka support at any time. In order to sell goods or services through Nuokka, you will also require a standard Stripe account, as defined and governed by the Stripe terms of service which can be found at https://stripe.com/au/legal

You can cancel your Nuokka account at any time in the “Account Settings” section of the application. If you are having trouble cancelling your account you may contact Nuokka support.

Upon termination of the Services by either party for any reason you will no longer be able to access your account and your account will be taken offline.

Termination of your Nuokka account will not result in termination of any connected Stripe account.

Should there be any any outstanding balances owed to Nuokka Pty Ltd. for your use of the Services these balances will become immediately due and payable in full upon the cancellation of your account.

We reserve the right to modify or terminate the Nuokka Service, the Terms of Service and/or your account for any reason, without notice at any time. Termination of the Terms of Service shall be without prejudice to any rights or obligations which arose prior to the date of termination.

6. Accuracy of materials

The materials appearing on Nuokka Pty Ltd's website could include technical, typographical, or photographic errors. Nuokka Pty Ltd does not warrant that any of the materials on its website are accurate, complete or current. Nuokka Pty Ltd may make changes to the materials contained on its website at any time without notice. However Nuokka Pty Ltd does not make any commitment to update the materials.

7. Links

Nuokka Pty Ltd has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Nuokka Pty Ltd of the site. Use of any such linked website is at the user's own risk.

8. Modifications

Nuokka Pty Ltd may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

9. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Australia and you irrevocably submit to the exclusive jurisdiction of the courts in that state or location.
